ASCAP Connections & Messaging Additional Terms

These ASCAP Connections and Messaging Additional Terms (“Connections Terms”) apply to your access to and use of the ASCAP Connections feature and related member-to-member messaging and communications functionality made available through the ASCAP mobile application (collectively, the “Connections Features”). These Connections Terms constitute “Additional Terms” under the ASCAP Terms of Use Agreement, which are incorporated herein by this reference. Capitalized terms not defined herein have the meanings set forth in the ASCAP Terms of Use Agreement, the ASCAP Mobile Application End User License Agreements for iOS and Android, the ASCAP Privacy Policy, or other applicable ASCAP policies, as each may be amended from time to time (collectively, the “ASCAP Agreement”). 

By enabling, accessing, or using any Connections Features, you acknowledge that you have read, understand and agree to be bound by these Connections Terms and the ASCAP Agreement. If you do not agree to any of the terms and conditions of these Connections Terms or the ASCAP Agreement, then do not access or use any of the Connections Features.

To the extent there is a conflict between these Connections Terms and the ASCAP Agreement, these Connections Terms shall control with respect to your access to and use of any Connections Features.

1. DESCRIPTION AND SCOPE OF THE CONNECTIONS FEATURES. 

ASCAP Connections is an optional, opt-in feature intended to allow eligible ASCAP members (“Members”) to discover other Members, send and receive connection requests to and from Members, and exchange one-to-one messages with Members through the ASCAP mobile application. The Connections Features are provided solely as a convenience for professional networking among Members. 

2. ELIGIBILITY. 

The Connections Features are available solely to eligible ASCAP members in good standing under the ASCAP Governing Documents. By accessing or using the Connections Features, you represent and warrant that: (a) you are a current ASCAP member in good standing, authorized to access and use the ASCAP mobile application; (b) you are at least the age of majority in your state or jurisdiction of residence; and (c) you have not been suspended, restricted, or otherwise prohibited by ASCAP from using the Connections Features, the ASCAP mobile application or any of the other ASCAP Services.

ASCAP reserves the right to verify eligibility, deny access to, restrict, suspend or terminate your access to the Connections Features at any time, including if ASCAP determines, in its sole discretion, that you (i) do not meet the foregoing eligibility requirements; (ii) have provided inaccurate or misleading information regarding your eligibility; or (iii) pose a risk to other Members, ASCAP, or the integrity, safety, or intended purpose of the Connections Features, including based on prior conduct occurring on or off the ASCAP mobile application.

3. MEMBER CONTENT AND COMMUNICATIONS. 

Any messages, text, images, profile information, links or other materials transmitted through the Connections Features (collectively, “Connections Content”) constitute “User Content” under the ASCAP Terms of Use Agreement.

You are solely and entirely responsible for: (a) all Connections Content you create, send, receive, access, or otherwise use; and (b) all interactions and communications with other Members arising from your access to and use of the Connections Features and Connections Content.

ASCAP DOES NOT VERIFY, ENDORSE, OR GUARANTEE THE IDENTITY, CREDENTIALS, QUALIFICATIONS, INTENTIONS OR REPRESENTATIONS OF ANY MEMBER OR THE ACCURACY OR RELIABILITY OF ANY CONNECTIONS CONTENT.

4. ASSUMPTION OF RISK; NO RELIANCE. 

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE CONNECTIONS FEATURES (INCLUDING ANY CONNECTIONS CONTENT OR OTHER DATA OR INFORMATION OBTAINED VIA OR OTHERWISE RESULTING FROM YOUR ACCESS TO AND USE THEREOF) AND YOUR INTERACTIONS WITH OTHER MEMBERS ARE AT YOUR SOLE AND ENTIRE RISK. 

ASCAP DOES NOT BROKER, FACILITATE, SUPERVISE, VERIFY, ENDORSE, GUARANTEE OR PARTICIPATE IN ANY COMMUNICATIONS, INTERACTIONS, COLLABORATIONS, TRANSACTIONS, AGREEMENTS OR RELATIONSHIPS BETWEEN MEMBERS, WHETHER OCCURRING VIA THE ASCAP MOBILE APPLICATION OR OFF-PLATFORM. ASCAP IS NOT A PARTY TO, AND DISCLAIMS ALL RESPONSIBILITY FOR, ANY SUCH INTERACTIONS.

Without limitation, other Members may provide inaccurate, misleading, offensive, inappropriate or unlawful information and communications may escalate to off-platform interactions over which ASCAP has no control. YOU SHOULD NOT RELY on any Connections Content for legal, business, financial, professional or personal decisions.

5. MODERATION RIGHTS; NO OBLIGATION. 

ASCAP reserves the right, but assumes no obligation, to monitor, review, filter, block, restrict, remove, label, or take other action with respect to Connections Content or Member access to the Connections Features, in its sole discretion, whether through the use of automated means (including the use of artificial intelligence and machine learning) or otherwise.

You acknowledge and agree that: (a) any moderation actions are discretionary and non-exhaustive; (b) moderation does not create any duty, obligation or standard of care; and (c) ASCAP’s failure to act in any instance does not waive its rights.

Without limiting the foregoing, ASCAP does not assume any duty to warn, protect, advise or intervene with respect to any Member conduct, communications or interactions, whether occurring on the ASCAP mobile application or off-platform.

ASCAP Connections is designed to support professional networking among participating Members. You agree that you will use the Connections Features in a respectful, lawful, and professional manner, all in compliance with these Connections Terms and the ASCAP Agreement.

You agree not to use the Connections Features to:

1. Harassment, Abuse, and Safety Violations
1. Harass, threaten, stalk, abuse, shame, intimidate or disparage any Member;
2. Engage in hate speech or discriminatory conduct based on protected characteristics;
3. Make unwanted sexual advances, sexual commentary or sexually explicit communications;
4. Threaten or promote violence, self-harm or criminal activity;
2. Misrepresentation and Deception
1. Impersonate any person or misrepresent your identity, affiliations, qualifications or intent;
2. Create or use fake or misleading profiles;
3. Engage in fraud, scams, phishing or deceptive practices;
3. Spam and Misuse
1. Send unsolicited, repetitive, promotional or irrelevant messages;
2. Use automated tools, bots, or scripts to send messages or connection requests;
3. Circumvent blocking, reporting or opt-out mechanisms;
4. Misuse reporting or complaint processes, including by submitting false or abusive reports;
4. Illegal, Infringing, or Improper Content
1. Violate any applicable law or regulation;
2. Infringe intellectual property, privacy or publicity rights;
3. Share confidential or proprietary information without authorization;
4. Promote illegal goods, services or activities; and/or
5. Record, screenshot, distribute, disclose or publicly share any private communications, messages, images or other Connections Content of another Member without that Member’s prior consent.

Violation of this Section may result in immediate suspension or termination of your access to the Connections Features, the ASCAP mobile application and/or any of the other ASCAP Services, in ASCAP’s sole discretion.

8. REPORTING, BLOCKING, AND MEMBER CONTROLS. 

If you see something you believe is inappropriate, unsafe or otherwise violates any of these Connections Terms or our policies, you may report it using the reporting mechanisms made available within the ASCAP mobile application or by contacting ASCAP through the applicable support channels identified in the application or ASCAP’s policies. ASCAP may also provide in-app tools allowing Members to report such violations or other Members, block communications, remove connections or disable the Connections Features.

You acknowledge and agree that: (a) no specific outcome or response time is guaranteed; (b) blocking or reporting does not prevent off-platform interactions; and (c) ASCAP shall have no liability arising from any action or inaction taken in response to any such report, including content removal, account restriction, or failure to remove content.

9. WARRANTY DISCLAIMER. 

WITHOUT LIMITING ANY OF THE DISCLAIMERS SET FORTH IN THE ASCAP AGREEMENT, THE CONNECTIONS FEATURES ARE PROVIDED SOLELY ON AN “AS-IS” AND “AS AVAILABLE” BASIS. ASCAP MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE CONNECTIONS FEATURES AND/OR THE CONNECTIONS CONTENT, EXPRESS, IMPLIED, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND/OR NON-INFRINGEMENT. ASCAP DOES NOT WARRANT THAT THE CONNECTIONS FEATURES WILL BE OPERABLE OR THAT YOUR USE OF THE CONNECTIONS FEATURES WILL BE UNINTERRUPTED OR ERROR FREE OR THAT THE CONNECTIONS FEATURES WILL PERFORM AS DESCRIBED OR FUNCTION OR OPERATE IN CONJUNCTION WITH ANY OTHER PRODUCT. ASCAP DOES NOT REPRESENT, WARRANT OR GUARANTEE THAT THE DATA OR INFORMATION OBTAINED VIA OR OTHERWISE RESULTING FROM YOUR USE OF THE CONNECTIONS FEATURES WILL BE ACCURATE, COMPLETE, TIMELY, ERROR-FREE, NON-INFRINGING OR OTHERWISE MEET YOUR REQUIREMENTS OR THAT ANY CONTENT WILL BE SECURE OR NOT LOST OR ALTERED. ALL SUCH RISKS ARE, AS BETWEEN ASCAP AND YOU, TO BE BORNE SOLELY BY YOU.  

10. LIMITATION OF LIABILITY.

WITHOUT LIMITING ANY OF THE LIMITATIONS OF LIABILITY SET FORTH IN THE ASCAP AGREEMENT, AND TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ASCAP SHALL NOT BE LIABLE UNDER THESE CONNECTIONS TERMS FOR ANY DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, ANY PERSONAL INJURY, BODILY INJURY, EMOTIONAL DISTRESS, DEATH, OR PROPERTY DAMAGE ARISING OUT OF OR RELATING TO YOUR USE OF THE CONNECTIONS FEATURES OR ANY INTERACTIONS WITH OTHER MEMBERS, INCLUDING, WITHOUT LIMITATION: (A) AVAILABILITY AND DELAYS IN AVAILABILITY OF THE CONNECTIONS FEATURES; (B) ANY FAILURE OR INTERRUPTION OF THE CONNECTIONS FEATURES; (C) DAMAGE CAUSED BY THE CONNECTIONS FEATURES AND/OR THE USE OF THE CONNECTIONS CONTENT; (D) MAINTENANCE AND STORAGE OF CONNECTIONS CONTENT OR ANY OTHER DATA; (E) DISCLOSURE OF OR FAILURE TO PROTECT PERSONALLY IDENTIFIABLE DATA; AND/OR (F) DAMAGE TO YOUR BUSINESS RELATED TO THE CONNECTIONS FEATURES AND/OR CONNECTIONS CONTENT. 

11. INDEMNIFICATION

Your indemnification obligations under the ASCAP Agreement apply fully to these Connections Terms and include, without limitation, any third-party claims arising out of or relating to: (a) your access to or use of the Connections Features (or any component thereof); (b) your Connections Content or communications with other Members; or (c) your actual or alleged breach of these Connections Terms, the ASCAP Agreement, and/or violation of applicable law.

You agree that ASCAP may assume exclusive control of the defense and settlement of any such claim, and you shall cooperate fully with ASCAP at your own expense.

12. MODIFICATION; SUSPENSION; DISCONTINUATION.

ASCAP reserves the right to modify, suspend, experiment with, limit or discontinue, temporarily or permanently, all or any aspect of the Connections Features with respect to any or all users, with or without notice, in its sole and absolute discretion. ASCAP shall have no liability to you for any such modification, suspension or discontinuation.

13. MISCELLANEOUS.

Unless expressly provided otherwise, the foregoing Connections Terms shall supplement all applicable terms in the ASCAP Agreement and shall not be construed to supersede or limit such terms in any manner. The ASCAP Agreement incorporating these Connections Terms, together with any other Additional Terms that may accompany the applicable Connections Features, constitutes the entire agreement between you and us relating to the Connections Features and your use thereof, and supersedes any prior or inconsistent agreements.
